    PRIORITY PASS 30TH BIRTHDAY INSTAGRAM PRIZE DRAW TERMS AND CONDITIONS

    1. The Promoter
      1. The promoter of this Instagram prize draw (the “Prize Draw”) is: PRIORITY PASS LIMITED, registered in England and Wales with company number 02728518, having its registered office at 3 More London Riverside, London, SE1 2AQ, United Kingdom (the “Promoter”). 

    2. How to enter
      1. The Prize Draw will run from 10:00am (UK time) on 27th September 2022 (the "Opening Date") to 11:59pm (UK time) on 9th December 2022 (extended from 9th November) (the "Closing Date") inclusive (the “Entry Period”).
      2. All Prize Draw entries must be received by the Promoter by no later than 11:59pm on the Closing Date. All Prize Draw entries received after the Closing Date are automatically disqualified. To enter the Prize Draw, entrants must during the Entry Period:
        1. take a creative photograph of themselves in a Priority Pass lounge (the “Photograph”); 
        2. follow the @PriorityPass account (https://www.instagram.com/prioritypass/); 
        3. continue following the account until at least the end of the Entry Period; and
        4. share the Photograph to their Instagram Account with #LiveLoveLounge tagging @PriorityPass  
      3. The Prize Draw is free to enter and no purchase is necessary. Entrants should be aware that they may be subject to local call charges depending on their own individual arrangements for Internet access.
      4. The Promoter will not accept: 
        1. responsibility for Prize Draw entries that are lost, mislaid, damaged or delayed in transit, regardless of cause, including, for example, as a result of any postal failure, equipment failure, technical malfunction, systems, satellite, network, server, computer hardware or software failure of any kind; or  
        2. proof of posting or transmission as proof of receipt of entry to the Prize Draw. 
      5. By submitting a Prize Draw entry, you are agreeing to be bound by these terms and conditions.

    3. Eligibility
      1. The Prize Draw is open to all entrants (including members and non-members of the Promoter) aged 18 years or over with a valid credit card, except:
        1. employees of the Promoter or its holding or subsidiary companies;
        2. employees of agents or suppliers of the Promoter or its holding or subsidiary companies, who are professionally connected with the Prize Draw or its administration; or
        3. members of the immediate families or households of (a) and (b) above.
      2. In entering the Prize Draw, you confirm that you are eligible to do so and eligible to claim the Prize. The Promoter may require you to provide proof that you are eligible to enter the Prize Draw..
      3. The Promoter will not accept prize draw entries that are:
        1. automatically generated by computer;
        2. completed by third parties or in bulk;
        3. illegible, have been altered, reconstructed, forged or tampered with;
        4. photocopies and not originals; or
        5. incomplete.
      4. There is a limit of one entry to the prize draw per person. Entries on behalf of another person will not be accepted and joint submissions are not allowed.
      5. The Promoter reserves all rights to disqualify you if your conduct is contrary to the spirit or intention of the prize draw.

    4. The prize
      1. The winning entrants (“Winner(s)”) will receive:  
        1. a limited edition 30th birthday Priority Pass membership, which entitles Winners to 60 free lounge visits over five years. The free lounge visits can be shared with any number of guests but are capped at 12 visits for each 12-month period starting on from the date the prize is sent out to the selected winner. Unused visits in one 12-month period cannot be rolled over to subsequent periods (the “Prize Membership”). For the avoidance of doubt, if a Winner reaches 12 visits for any 12-month period they will have to pay for additional visits, charged at the rates applicable to the Promoter’s members; and 
        2. a gift box with a luggage tag, passport cover and notebook from Aspinal of London worth approximately £120 (the “Prize Box”), together (the “Prize”). 
      2. There will be a total of 15 winning entrants between 27th September 2022 to 27th September 2022 and another 10 winning entrants from  9th November 2022 to 9th December 2022.
      3. The Prize is not negotiable or transferable and no cash alternative is offered. The Promoter reserves the right to replace the Prize with an alternative Prize of equal or higher value if circumstances beyond the Promoter's control makes it necessary to do so.

    5. Winners
      1. The Winners will be chosen: 
        1. By a panel of judges constituting employees of the Promoter (the “Panel”) based on the entries that the Panel considers, at its sole discretion, have submitted the most creative photos that capture the entrants’ love for the Promoter’s lounges;;
        2. Winners will be selected based on the creativity of the submitted photo from the Priority Pass lounge, each winner will be announced on Instagram story (providing we get consent from the winner) at the end of each week, throughout the competition (the "Selection Date") 
      2. The decision of the Promoter regarding any aspect of the prize draw is final and binding and no correspondence or discussion will be entered into.
      3. The Winners must have a registered Instagram account and will be notified on the Instagram platform through two attempts by the Promoter to contact the Winners within 7 days of the Selection Date. To claim the Prize, the Winners will be asked to provide their name, email address, phone number and postal address to the Promoter. If any Winner does not respond to the Promoter within seven days of the second contact from the Promoter, then the Winner's Prize will be forfeited and the Promoter will be entitled to select another winner in accordance with the process described above.
      4. The Promoter must either publish information that indicates that a valid award took place or send a direct message to the Winner. To comply with this obligation the Promoter will publish the Instagram handle of the Winner on Priority Pass’ Instagram and tag them, ensuring the Winner has agreed to this after contacting them to notify them they have been selected as a winner. Prize Winners will be selected and announced at the end of each week, for a total of 13 weeks.
      5. If you object to any or all of your surname, country and winning entry being published or made available, please contact the Promoter at Eleonora.Zankova@collinsongroup.com. In such circumstances, the Promoter must still provide the information and winning entry to the Advertising Standards Authority on request.
      6. The Prize Box will be sent by the Promoter by post within 30 days of the Winner complying with the conditions of clause 5.3, and subject to compliance with clause 5.10 below. The Promoter accepts no responsibility and no liability if the Prize is lost, stolen or damaged whilst in transit to the Winner or if you are not able to take up the Prize.
      7. The Prize Membership will be sent to the Winners by email with an online hyperlink to activate Prize Membership. A valid payment card will be required to be provided by the Winner to the Promoter in order to activate Prize Membership. If Winner does not activate Prize Membership within twelve months of receipt of the activation email, Prize Membership will expire and will no longer be valid and Winner will lose all entitlement to Prize Membership.
      8. If any Winner is an existing member of the Promoter, the Winner will have the option to:
        1. choose to keep their current membership active until it expires, at which point, if the Winner opts out of auto renewal, the membership will expire and the Winner will migrate to the Prize Membership. The Winner cannot delay migration to the Prize Membership beyond this point;
        2. instantly cancel their current membership at which point the Winner will migrate to the Prize Membership without delay; or
        3. not participate in the Prize Membership and continue on the Winner’s current membership in which case they will lose all entitlement to the Prize.
      9. If any Winner is an existing member of the Promoter with any outstanding payments in relation to their Priority Pass memberships, they will be required to clear all debt on their account before the Prize will be sent.
      10. The Prize may not be claimed by a third party on your behalf.

    6. Limitation of liability
      1. Insofar as is permitted by law, the Promoter, its agents or distributors will not in any circumstances be responsible or liable to compensate the Winners or accept any liability for any loss, damage, personal injury or death occurring as a result of taking up the Prize except where it is caused by the negligence of the Promoter, its agents or distributors or that of their employees. Your statutory rights are not affected.


    7. Ownership of prize draw entries and intellectual property rights
      1. All Prize Draw entries and any accompanying material submitted to the Promoter (including but not limited to the Photograph) will become the property of the Promoter on receipt and will not be returned.
      2. By submitting your Prize Draw entry and any accompanying material, you confirm that you have the necessary rights and permission from everyone in the Photograph for it to be published and shared in accordance with these terms and you agree to:
        1. assign to the Promoter all your intellectual property rights with full title guarantee; and
        2. waive all moral rights,

        in and to your prize draw entry and otherwise arising in connection with your entry to which you may now or at any time in the future be entitled under the Copyright, Designs and Patents Act 1988 as amended from time to time and under all similar legislation from time to time in force anywhere in the world.

      3. You agree that the Promoter may, but is not required to, make your entry available on its website at https://www.prioritypass.com and any other media, whether now known or invented in the future, and in connection with any publicity of the prize draw. You agree to grant the Promoter a non-exclusive, worldwide, irrevocable licence, for the full period of any intellectual property rights in the prize draw entry and any accompanying materials, to use, display, publish, transmit, copy, edit, alter, store, re-format and sub-licence the prize draw entry and any accompanying materials for such purposes.

    8. Data protection and publicity
      1. By entering this prize draw, all entrants consent to the use of their personal data by the Promoter for the purposes of the administration of this prize draw and any other purposes to which the entrants have consented. Any uses of personal data received by the Promoter in the course of the prize draw are subject to all applicable data protection laws and to the privacy policy found on the Promoter’s website at https://www.prioritypass.com/privacy-notice.

    9. General
      1. If there is any reason to believe that there has been a breach of these terms and conditions, the Promoter may, at its sole discretion, reserve the right to exclude you from participating in the Prize Draw.
      2. Use of the Prize Membership by any Winners and/or their guest(s) will be on the Promoter’s standard Conditions of Use, found on the Promoter’s website at: https://www.prioritypass.com/en/conditions-of-use.
      3. The Promoter reserves the right to hold void, suspend, cancel, or amend the Prize Draw where it becomes necessary to do so.
      4. The Promoter reserves the right to review, amend and/or revise these terms and conditions at any time without giving prior notice and, by continuing to take part in the Prize Draw subsequent to any revision of these Terms and Conditions, the entrants shall be deemed to have agreed to any such new or amended terms and the entrants agree that no liability shall attach to the Promoter as a result thereof.
      5. The Promoter reserves the right at any time in its sole discretion and without notice to hold void, suspend, amend or revoke the Prize Membership, including without limitation as a result of being made aware by whatever means of any actions by any Winner which brings the Promoter into public disrepute, contempt, scandal or ridicule or reflect unfavourably on this Prize Draw as determined by the Promoter in its sole discretion.
      6. The Prize Draw is in no way sponsored, endorsed or administrated by InstagramTM. Entrants must abide by the terms and conditions of each social media outlet as applicable (see their website for that information) to participate in any prize draw or competition, including this Prize Draw.
      7. These terms and conditions shall be governed by the laws of England and Wales, and the parties submit to the non-exclusive jurisdiction of the courts of England and Wales.

    FOR PRIORITY PASS™ 30TH BIRTHDAY GIFT MEMBERSHIP GIVEAWAY: TERMS FOR MEMBERS

    1. Priority Pass Limited
      1. PRIORITY PASS LIMITED, registered in England and Wales with company number 02728518, having its registered office at 3 More London Riverside, London, SE1 2AQ, United Kingdom (“PPL”) is the provider of the Priority Pass™ Gift Membership Giveaway Campaign (“Gift Giveaway”).

    2. Recipient
      1. By accepting the Gift outlined in clause 3 of these Terms and Conditions, you (“Recipient”) agree to abide by these Terms and Conditions and notify PPL immediately if Recipient does not accept or cannot comply with said Terms and Conditions.
      2. Employees of PPL, parent company of PPL, or any of its sub-contractors, subsidiary companies, agencies, their families and any other party who are directly involved in organising, promoting or conducting the Gift Giveaway will not be eligible to receive the Gift.

    3. The Gift
      1. Recipient will receive:
        1. One luggage tag, one passport cover and one notebook from Aspinal of London, totalling approximately one hundred and twenty pounds (£120.00) (the “Gift Box”); and
        2. One Priority Pass membership, which entitles Recipient to twelve complimentary lounge visits, to locations in Priority Pass programme, per twelve-month period for five consecutive years. Complimentary lounge visits may be utilised by guests accompanying the Recipient. Lounge visits not utilised in any twelve-month period will expire and cannot be utilised in subsequent twelve-month periods (the “Gift Membership”).  
      2. The Gift Box and Gift Membership will together constitute the “Gift”.
      3. If Recipient utilises twelve lounge visits in any twelve-month period, Recipient will be charged for additional visits at the rates applicable to PPL members.
      4. Gift is subject to availability, non-transferable, non-refundable and non-changeable. No cash or credit alternatives will be offered. PPL reserves the right to provide a substitute gift of similar value should the specified Gift become unavailable.

    4. Claiming the Gift
      1. Gift can be redeemed only once by each Recipient.
      2. Gift is awarded conditionally upon acceptance of these Terms and Conditions.
      3. If Recipient does not respond to PPL by the means of communication and within the timeframe stated in PPL’s initial communication, Gift shall be deemed unclaimed or unaccepted and PPL will be entitled to select another recipient. Gift cannot be claimed by a third party on a Recipient’s behalf.
      4. Upon acceptance of Gift by Recipient, Gift Box will be sent out within 30 days to Recipient by post. PPL accepts no responsibility and no liability if Gift Box is lost, stolen or damaged whilst in transit to the Recipient.
      5. Upon acceptance of Gift by Recipient, Gift Membership will be sent by email with an online hyperlink to activate Gift Membership. A valid payment card will be required to be provided by Recipient to PPL in order to activate Gift Membership.
      6. As Recipient holds an existing Priority Pass membership, the Recipient will have the option to:
      7. Where Recipient is liable to PPL for any debt or outstanding payment, Recipient is required to clear all debt on their account before receiving Gift Box and activating or utilising Gift Membership.

    5. Data protection and publicity
      1. Recipient is an existing Priority Pass member who has already provided consent to receive marketing materials. By accepting the Gift, Recipient consents to the use of their personal data by PPL for the purposes of the administration of this Gift Giveaway and any other purposes to which the Recipient has consented. Any uses of personal data received by PPL in the course of the Gift Giveaway are subject to all applicable data protection laws and to the privacy policy found on PPL’s website at https://www.prioritypass.com/privacy-notice.
      2. Recipient agrees to take part in reasonable publicity relating to the Gift and to the use of their names and photographs in such publicity and marketing materials.

    6. Limitation of liability and indemnity
      1. Insofar as is permitted by law, PPL, its agents or distributors will not in any circumstances be responsible or liable to compensate Recipient or accept any liability for any loss, damage, personal injury or death occurring as a result of accepting the Gift except where it is caused by the negligence of PPL, its agents or distributors or that of their employees. Your statutory rights are not affected.
      2. Recipient shall hold PPL, its employees, officers, directors, licensees, distributors, affiliates, subsidiaries, advertising, promoter or other agencies harmless and shall fully indemnify the same for any and all costs, expenses, liabilities and damages whatsoever that may arise as a result of Recipient’ acceptance and use of Gift. Under no circumstances will PPL be liable for any breach of state or country law that may occur as a result of Recipient’ acceptance and use of Gift.

    7. General
      1. PPL reserves the right to cancel, amend, terminate or temporarily suspend this Gift Giveaway in the event of any unforeseen circumstances outside its reasonable control, with no liability to any entrants or third parties.
      2. PPL reserves the right to review, amend and/or revise these Terms and Conditions at any time without giving prior notice and, by continuing use of the Gift, Recipient shall be deemed to have agreed to any such new or amended terms and Recipient agrees that no liability shall attach to PPL as a result thereof.
      3. Use of the Gift by any Recipient and/or their guests will be subject to PPL’s standard Conditions of Use located on PPL’s website at: https://www.prioritypass.com/en/conditions-of-use.
      4. PPL makes no representations or warranties, implicit or explicit, as to Recipient’s legal right to participate in the Gift Giveaway nor shall any of PPL’s employees, licensees, distributors, affiliates, subsidiaries, advertising, promotion or other agencies, media partners, agents or retailers have the authority to make any such representations or warranties.
      5. All and any promotional materials and instructions provided to Recipient by PPL form part of these Terms and Conditions and, in the event of a conflict, these Terms and Conditions shall always prevail.
      6. If any provision of these Terms and Conditions is held invalid by any law, rule, order or regulation of any government, or by the final determination of any court of a competent jurisdiction, such invalidity shall not affect the enforceability of any other provisions not held to be invalid.
      7. This Gift Giveaway and any dispute or claim arising out of or in connection with it or its subject matter or formation (including non-contractual disputes or claims) will be governed by the laws of England and Wales and will be subject to the non-exclusive jurisdiction of the Courts of England and Wales.

    1. Priority Pass Limited
      1. PRIORITY PASS LIMITED, registered in England and Wales with company number 02728518, having its registered office at 3 More London Riverside, London, SE1 2AQ, United Kingdom (“PPL”) is the provider of the Priority Pass™ Gift Membership Giveaway Campaign (“Gift Giveaway”).

    2. Recipient
      1. By accepting the Gift outlined in clause 3 of these Terms and Conditions, you (“Recipient”) agree to abide by these Terms and Conditions and notify PPL immediately if Recipient does not accept or cannot comply with said Terms and Conditions.
      2. Employees of PPL, parent company of PPL, or any of its sub-contractors, subsidiary companies, agencies, their families and any other party who are directly involved in organising, promoting or conducting the Gift Giveaway will not be eligible to receive the Gift.

    3. The Gift
      1. Recipient will receive:

      4. Gift is subject to availability, non-transferable, non-refundable and non-changeable. No cash or credit alternatives will be offered. PPL reserves the right to provide a substitute gift of similar value should the specified Gift become unavailable.

    4. Claiming the Gift
      1. Gift can be redeemed only once by each Recipient.

    5. Data protection and publicity
      1. Recipient will be contacted via contact details obtained on public domains and asked whether Recipient consents to provide further contact information and to accept Gift. If consent is not provided, no further contact will be made and Recipient will not be provided Gift. By accepting the Gift, Recipient consents to the use of their personal data by PPL for the purposes of the administration of this Gift Giveaway and any other purposes to which Recipient has consented. Any uses of personal data received by PPL in the course of the Gift Giveaway are subject to all applicable data protection laws and to the privacy policy found on PPL’s website at https://www.prioritypass.com/privacy-notice.
